Master Parking & Storage Agreement

1NATURE OF THE SERVICE

YourPARKED operates an AI-powered marketplace connecting vehicle owners with third-party property owners ("Hosts") who have available driveways or parking spaces. YourPARKED is a technology platform, not a parking lot operator, warehouseman, or insurer. We facilitate the matching, booking, and payment process via SpotVault AI and Stripe.

2LICENSE TO USE SPACE (REVOCABLE LICENSE ONLY — NOT A LEASE OR BAILMENT)

This Agreement constitutes a revocable, non-exclusive, limited license to use a designated Space solely for parking or storing the vehicle described in your booking, during the paid term and subject to the rules in this Agreement.

• NOT a Lease / No Tenancy: This Agreement is not a residential or commercial lease and does not grant you any tenancy, possessory, rent-control, or other real-property rights. You have no right to exclusive possession of the Space.
• NOT a Bailment / No Custody or Control: This Agreement does not create a bailment, deposit, warehousing, or storage custody arrangement. Neither YourPARKED nor the Host accepts possession, custody, or control of your vehicle, keys, or contents. You retain sole custody and control of your vehicle at all times.
• No Duty to Safeguard: Because no bailment is created, YourPARKED and the Host have no duty to monitor, guard, secure, or protect your vehicle or its contents.
• Revocable: The license may be revoked or suspended as provided in this Agreement (including for non-payment, safety reasons, operational needs, or breach).

3USER RESPONSIBILITIES & REPRESENTATIONS

By booking or using a Space, you represent, warrant, and agree that:

• Ownership / Authority: You are the legal owner of the vehicle or have full authority to park/store it.
• Insurance (Required): You shall maintain active, valid automobile insurance at all times, including liability and full comprehensive and collision coverage for the vehicle while using the Space. Upon request, you will provide proof of insurance. You acknowledge that YourPARKED and the Host do not provide insurance for your vehicle, its contents, or any third-party property.
• Registration / Condition: The vehicle must be currently registered, roadworthy, and in operable condition (unless specifically booked as "non-operable storage" and accepted by the Host).
• Accurate Information: You will provide accurate vehicle details (including plate, make/model, and dimensions) and will only use the Space for the approved vehicle.
• Prohibited Activities & Items: You will not, and will not permit any third party to: perform repairs, maintenance, washing/detailing, oil changes, fluid disposal, jump-start services as a business, or any mechanical/body work; store or transport hazardous materials, explosives, illegal substances, firearms (except as lawful and secured in compliance with applicable law), flammables, or toxic chemicals on or about the Space; use the Space for any commercial purpose without written authorization; sleep, reside, camp, or "live" in the vehicle, idle the vehicle excessively, or create noise/nuisance; obstruct access ways, block sidewalks/driveways, or interfere with the Host or neighbors; transfer, sublicense, or share access credentials to the Space.
• Compliance With Law: You will comply with all applicable laws, rules, posted signage, HOA/building rules, and reasonable Host instructions relating to safety and access.

4FEES, PAYMENTS, LATE FEES, AND RENEWALS

• Billing / Stripe Authorization: All fees are billed monthly in advance via Stripe. You authorize YourPARKED to charge your payment method automatically on a recurring basis until your booking is properly terminated.
• Automatic Renewal: Bookings automatically renew each month unless canceled through the YourPARKED platform in accordance with Section 8.
• Late Fees: If any payment is not successfully processed when due, YourPARKED may charge a late fee and/or the maximum lawful interest on overdue amounts.
• Immediate Suspension for Non-Payment: If a payment fails or is reversed, your license to use the Space is immediately suspended without notice until all amounts are paid in full.
• Collections: You are responsible for all costs of collection, including reasonable attorneys' fees and court costs.
• No Set-Off: You may not withhold, offset, or deduct amounts due under this Agreement for any reason.
• Refunds: Except where required by applicable law or expressly stated in writing, payments are non-refundable once a billing period begins.

5ABSOLUTE LIMITATION OF LIABILITY, ASSUMPTION OF RISK & RELEASE

• Release: You hereby release, discharge, and hold harmless YourPARKED and all Hosts from any and all claims, demands, damages, actions, causes of action, or suits of any kind arising out of or relating to your use of any Space, including but not limited to theft, vandalism, fire, flood, towing, or damage to your vehicle or personal property.
• Consequential Damages Waiver: IN NO EVENT SHALL YOURPARKED'S TOTAL AGGREGATE LIABILITY TO YOU EXCEED THE TOTAL FEES ACTUALLY PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
• Platform / AI Disclaimer: SpotVault AI provides matching recommendations only. YourPARKED makes no warranty regarding the security, safety, suitability, or fitness of any Space. AI-generated matches, pricing estimates, and availability are provided "AS IS" without warranty of any kind, express or implied.
• Assumption of Risk: You expressly assume all risks associated with parking or storing your vehicle, including but not limited to damage, theft, weather events, structural failure, flooding, and acts of third parties.
• Indemnification: You agree to indemnify, defend, and hold harmless YourPARKED, its affiliates, and each Host from any claims, losses, liabilities, costs, and expenses (including attorneys' fees) arising out of your use of the Space, your breach of this Agreement, your negligence or willful misconduct, or any third-party claim related to your vehicle or its contents.

6HOST OBLIGATIONS, ACCESS, AND PLATFORM RULES

• Host Access Obligation: Hosts agree to keep the Space reasonably accessible during the booked hours and to provide Users with any access credentials (codes, keys, instructions) necessary to use the Space as described in the listing.
• Basic Maintenance / Snow & Ice: Hosts are responsible for maintaining the Space in a reasonably safe condition, including prompt snow and ice removal where applicable and removal of known hazards.
• User Cooperation: Users agree to follow all reasonable instructions from the Host regarding access, parking position, hours of use, and conduct on the property. Failure to comply may result in immediate revocation of the license.
• Disputes & Communication: All disputes between Users and Hosts regarding a Space must first be reported to YourPARKED via the platform. YourPARKED may, at its discretion, mediate disputes but is not obligated to do so and is not liable for resolution outcomes.
• No Circumvention: Users and Hosts agree not to circumvent the YourPARKED platform to enter into direct parking arrangements for Spaces originally discovered through YourPARKED. Any such arrangement is a material breach of this Agreement and may result in account termination and damages.

7ABANDONED VEHICLES, OVERDUE PAYMENTS & TOWING AUTHORIZATION

• 15-Day Late Payment Trigger: If any payment remains outstanding for fifteen (15) or more consecutive days, YourPARKED and the Host shall have the right, without further notice, to declare the vehicle abandoned and to take any or all remedies described in this section.
• Immediate Tow / Removal Right: Upon license revocation, non-payment, or breach of this Agreement, YourPARKED and/or the Host are authorized to arrange for the immediate removal and towing of your vehicle at your sole cost and expense, without liability to YourPARKED or the Host.
• Fees & Costs: You are responsible for all towing fees, storage charges, administrative fees, and any other costs incurred in connection with the removal and storage of your vehicle. Such amounts are immediately due and payable and may be charged to your payment method on file.
• No Bailment by Tow: Removal and towing of your vehicle by or on behalf of YourPARKED or the Host does not create a bailment or custody arrangement. YourPARKED and the Host assume no responsibility for the vehicle following tow-away.
• Lien / Legal Remedies: YourPARKED reserves all legal remedies available for collection of unpaid fees, including referral to collection agencies, filing of liens, and legal proceedings. You waive any homestead or other exemption to the extent permitted by applicable law.

8TERMINATION

• 30-Day Notice (No-Fault): Either party (User or Host) may terminate a booking without cause by providing at least thirty (30) days' written notice through the YourPARKED platform prior to the next billing date. No refund shall be issued for any billing period already charged.
• Immediate Termination for Breach: YourPARKED may immediately terminate this Agreement and revoke your license to use the Space, without notice or refund, if you violate any provision of this Agreement, including but not limited to non-payment, prohibited use, or providing false information.
• Host Unavailability: If a Host is unable to provide the Space for reasons beyond YourPARKED's control (including but not limited to property sale, legal action, or structural damage), YourPARKED will endeavor to find a comparable alternative Space or provide a pro-rated refund for unused days. YourPARKED's sole obligation in such cases is the pro-rated refund and/or reasonable relocation assistance.
• Effect of Termination: Upon termination, your license to use the Space immediately expires. You must promptly remove your vehicle and all personal property from the Space. Any property remaining after termination may be treated as abandoned per Section 7.

9GOVERNING LAW

This Agreement is governed by the laws of the State of New York for Brooklyn and Queens bookings, and the laws of the State of New Jersey for NJ-based bookings. Any disputes not resolved through YourPARKED's dispute resolution process shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York (for NY bookings) or Hudson County, New Jersey (for NJ bookings), and you hereby consent to personal jurisdiction in such courts.

10ACCEPTANCE

By clicking "Book Now," "Confirm Match," or by placing a vehicle on a Host's property, you acknowledge that you have read, understood, and agreed to be bound by this Master Parking & Storage Agreement.
